Job Overview:

As a result of a growing pipeline of work our Corporate Transactions team is looking to hire an experienced Senior Associate in our Melbourne office. Candidates will need to have Regulated M&A experience and be able to work on a broad range of corporate transactions.

The corporate work is for a client base that spans mid-cap entities through to blue chips, and includes mainstream corporate transactions such as takeovers, IPOs, business and asset acquisitions and disposals, equity capital markets work, restructuring and recapitalisation transactions, joint venture arrangements, ASX listing rule work and corporate governance.

  • Advising Verdant Minerals on the proposed scheme of arrangement relating to the acquisition of 67% of Verdant by CD Capital Natural Resources Fund III LP for approx. A$40m
  • Advising Bubs Australia on the sale of its milk processing joint venture interest for approx. A$3.5m
  • Advising Nisshin Seifun Group and Nisshin Flour Milling on their acquisition of Allied Pinnacle
  • Advising Yara Pilbara Fertilisers on their Collaboration Agreement with Engie Hydrogen to test green hydrogen technology in fertiliser production
  • Advising Kookaburra Sport on their acquisition of the assets and business of Burley Sekem
  • Advising NorthWest Healthcare Properties REIT on the acquisition and leaseback of A$1.3bn of hospital property assets from Healthscope Limited as part of the proposed A$4.5ban takeover of Healthscope Limited by Brookfield

Essential Skills and Experience:

  • 5-8 years' corporate experience gained within a top-tier firm or by a combination of top-tier and in-house
  • Regulated M&A experience
  • Excellent communication skills, both written and verbal
  • Superior drafting ability
  • A commercial approach and an ability to articulate and negotiate effectively
  • Strong attention to detail with well-developed analytical skills
  • The ability to be team-focused and also work independently
  • A proactive, positive and energetic approach with a commitment to providing excellent service, a desire to interact with the market and build client relationships
